1. Notice

1.1. This website (“website”) is owned and operated by Contractorfind (Pty) Ltd (“Conversion”).

1.2. These Terms and Conditions (“Terms and Conditions”) govern the use of the Website.

1.3. All users and account holders, including those that buy from the website are bound by these Terms and Conditions. By registering, or using the website, you acknowledge that you’ve read, accepted and agreed to be bound by these Terms and Conditions. Should there be any clause in these Terms and Conditions that you do not understand, it is your responsibility to ask Conversion to explain the relevant clause to you before you accept the Terms and Conditions or continue using the website. By using this website, it is deemed that, you have unconditionally accepted these Terms and Conditions.

3. Use of Website

3.1. The website is not intended for anyone under the age of 18 years of age. By registering and using the website you are confirming that you are 18 years and older or if you are not legally permitted to enter into a binding agreement, then you may use the Website only with the involvement and supervision of your parent or legal guardian. If your parent or legal guardian supervises you and gives his/her consent, then such person agrees to be bound to these Terms and Conditions and to be liable and responsible for you and all your obligations under these Terms and Conditions.

3.2. We reserve the right to amend this agreement or any parts thereof at any time and without notice. Amendments to this agreement take effect immediately after it has been amended on this website, and your continued use of the website implies your acceptance of the agreement as amended.

3.3. You agree to notify Conversion immediately upon becoming aware of or reasonably suspecting any unauthorised access to or use of your username and password and to take steps to mitigate any resultant loss or harm.

3.4. You may not use the Website to distribute material which is defamatory, offensive, contains or amounts to hate speech or is otherwise unlawful. You may not in any way display, publish, copy, print, post or otherwise use the Website and/or the information contained therein without the express prior written consent of an authorised Conversion representative.

4. Payment

4.1. Conversion is committed to providing secure online payment facilities. All transactions are encrypted using appropriate encryption technology.

4.2. Where payment is made by debit or credit card, we may require additional information in order to authorise and/or verify the validity of payment. You warrant that you are fully authorised to use the debit or credit card supplied for purposes of paying for goods or services on this website.

4.3. If you pay via direct bank deposit or electronic funds transfer, proof of payment must be emailed to Conversion, with the correct reference for payment.

4.4. Credit card acquiring and security

4.4.A    Credit card transactions will be acquired for Conversion Pty Ltd via Ecentric who are the approved payment gateway for Standard Bank of South Africa.  Ecentric uses the strictest form of encryption, namely Secure Socket Layer 3 (SSL3) and no credit card details are stored on the website.  Users may go to www.ecentric.co.za to view their security certificate and security policy. 

4.5. Ecentric accredited payment service provider

4.5.A    Ecentric is a PCI DSS Level 1 Service Provider

4.5.B    Ecentric was the first Payment Service Provider in South Africa to achieve Payment Card Industry Data Security Standard (PCI DSS) Level 1 Certification in 2009.

4.6. Ecentric PCI SSC Participating Organisation

4.6.A    Completing successful annual audits, Ecentric has continued to maintain the required standard and has been invited to partner with the PCI Security Standards Council to enhance card payment security standards.

4.7. PASA System Operator

4.7.A    Ecentric is an authorised System Operator with the Payment Association of South Africa (PASA) in terms of SARB Directive 2 of 2007. PASA is the payment system management body recognised by the South African Reserve Bank (SARB), to organise, manage and regulate the participation of members in the national payment system.

4.8. Ecentric is a PASA Third Party Payment Provider

4.8.A    Ecentric Payment Systems is an authorised Third Party Payment Provider with the Payment Association of South Africa (PASA) in terms of SARB Directive 1 of 2007.

4.9. Customer details separate from card details

4.9.A    Customer details will be stored by Contractorfind Pty Ltd separately from card details which are entered by the client on Ecentric secure site.  For more detail on Ecentric please visit www.ecentric.co.za.

5. Third Party Suppliers

5.1. You agree and acknowledge that, goods and services on this website is provided by third party person/s or third party suppliers. Conversion only provides the platform to facilitate transactions between Third Party Suppliers and users of this website. Conversion is neither the consumer nor supplier of goods or services unless otherwise specified.

5.2. Any agreement for services or goods provided by third party suppliers to users of this website is solely between the user of this website and such third party supplier. Conversion is not a party to any agreement (whether such agreement is express,  written, tacit or by implication)  that, may be formed.

5.3. The Third Party Supplier is solely responsible for fulfilment of delivery of the goods or services. The Third Party Seller is also responsible to provide an invoice to the user if required. Not all Third Party Suppliers are registered VAT (Value-Added Tax) vendors. Only Third Party Suppliers who are registered VAT vendors may charge VAT on goods and services sold and issue a tax invoice in respect thereof. 

6. Privacy policy

Conversion respects your privacy and will take all reasonable measures to protect it, as more fully detailed in our Privacy Policy which is incorporated by reference.

7. Electronic communications

When you visit the Website or send emails to us, you consent to receiving communications from us or any of our divisions, affiliates or partners electronically in accordance with our privacy policy.

8. Ownership and copyright

8.1. The contents of the Website, including any material, information, data, software, icons, text, graphics, lay-outs, images, sound clips, advertisements, video clips, trade names, logos, trade-marks, designs and service marks which are displayed on or incorporated in this Website (“website information”) are protected by law, including but not limited to copyright and trade mark law. 

8.2. The Website Information is the property of Conversion, its advertisers and/or sponsors and/or is licensed to Conversion.

8.3. You will not acquire any right, title or interest in or to the Website or the Website Information.

8.4. Any use, distribution or reproduction of the Website Information is prohibited unless expressly authorised in terms of these Terms and Conditions or otherwise provided for in law.

9. Disclaimer

9.1. The use of the Website is entirely at your own risk and you assume full responsibility for any risk or loss resulting from use of the Website or reliance on any information on the Website.

9.2. Whilst Conversion takes reasonable measures to ensure that the content of the Website is accurate and complete, Conversion makes no representations or warranties, whether express or implied, as to the quality, timeliness, operation, integrity, availability or functionality of the Website or as to the accuracy, completeness or reliability of any information on the Website. If any such representations or warranties are made by representatives of Conversion or third party suppliers, Conversion shall not be liable for such representations. 

9.3. Any views or statements made or expressed on the Website are not necessarily the views of Conversion, its directors, employees and/or agents

9.4. This Website may contain links or references to other websites (“Third Party Websites”) which are outside of our control, including those of advertisers or suppliers. These Terms and Conditions do not apply to those Third Party Websites and Conversion is not responsible for the practices and/or privacy policies of those Third Party Websites or the “cookies” that those sites may use.

9.5. Notwithstanding the fact that the Website may refer to or provide links to Third Party Websites, your use of such Third Party Websites is entirely at your own risk and we are not responsible for any loss, expense, claim or damage, whether direct, indirect or consequential, arising from your use of such Third Party Websites or your reliance on any information contained thereon.

10. Limitation of liability

By use of this website, it is agreed that:

10.1. Conversion shall not be cannot be held liable for any inaccurate information published on the Website and/or any incorrect prices displayed on the Website.

10.2. Conversion shall not be liable for any direct, indirect, incidental, special or consequential loss or damages which might arise from your use of, or reliance upon, the website or the content contained in the website; or your inability to use the website, and/or unlawful activity on the website and/or any linked third party website.

10.3. you hereby indemnify Conversion against any loss, claim or damage which may be suffered by yourself or any third party arising in any way from your use of this website and/or any linked third party website or third party supplier.

11. Termination of account

11.1.    Conversion may in its sole discretion terminate, suspend and modify this Website, with or without notice to you. You agree that Conversion will not be liable to you in the event that it chooses to suspend, modify or terminate this Website.

11.2.    If you fail to comply with any obligations under these Terms and Conditions, Conversion in its sole and absolute discretion, with or without notice to you, suspend and/or terminate your access to the Website without any prejudice to any claims for damages or otherwise that Conversion may have against you.

12. Governing law and jurisdiction

12.1.    These Terms and Conditions and our relationship and/or any dispute arising from or in connection with these Terms and Conditions shall be governed and interpreted in accordance with the laws of the Republic of South Africa. Your continued use of the Website will constitute your consent and submission to the jurisdiction of the South African courts regarding all proceedings, transactions, applications or the like instituted by either party against the other, arising from any of these Terms and Conditions.

12.2.    In the event of any dispute arising between you and Conversion, you hereby consent to the non-exclusive jurisdiction of the High Court of the Republic of South Africa (Kwazulu Natal Division, Pietermaritzburg) notwithstanding that the quantum in the action or proceedings may otherwise fall below the monetary jurisdiction of that court.

13. General

13.1. You may not cede, assign or otherwise transfer your rights and obligations in terms of these Terms and Conditions to any third party.

13.2. Any failure on the part of you or Conversion to enforce any right in terms hereof shall not constitute a waiver of that right.

13.3. If any term or condition contained herein is declared invalid, the remaining terms and conditions will remain in full force and effect.

13.4. No variation, addition, deletion, or agreed cancellation of the Terms and Conditions will be of any force or effect unless in writing and accepted by or on behalf of the parties hereto.

13.5. No indulgence, extension of time, relaxation or latitude which any party (the “grantor”) may show grant or allow to the other (the “grantee”) shall constitute a waiver by the grantor of any of the grantor’s rights and the grantor shall not thereby be prejudiced or stopped from exercising any of its rights against the grantee which may have arisen in the past or which might arise in the future.

13.6. These Terms and Conditions contain the whole agreement between you and Conversion and no other warranty or undertaking is valid, unless contained in this document between the parties.
